Terms of Service

1. Acceptance of Terms
By accessing or using the UPFRONT platform (the "Service"), you agree to be bound by these Terms of Service in their entirety. If you are using the Service on behalf of a business, corporation, or other legal entity, you represent and warrant that you have the full legal authority to bind that entity to these terms.
2. Nature of Service
UPFRONT is a digital escrow-style and agreement-binding registry designed to facilitate transparency and trust. The platform provides:
- check_circle The creation of legally recognized contracts between Employers (First Party) and Contractors (Second Party).
- check_circle Cryptographic identity verification via biometric (facial) capture and metadata logging.
- check_circle Access to legal recovery counsel in the event of a contractual breach.
gavel 3. Prohibited Use & Illegal Activities
Strict Prohibition: UPFRONT expressly disqualifies and prohibits any agreements, contracts, or arrangements that cover, facilitate, or endorse illegal activities.
Any agreement found to involve illegal activities will be automatically and permanently deleted from our database without refund or prior notice, and the associated accounts will be permanently banned. Law enforcement may be notified depending on the severity of the offense.
Prohibited Activities Include (but are not limited to):
- Money laundering, financial fraud, scams, or Ponzi schemes.
- Human trafficking, prostitution, or illegal exploitation.
- The sale, distribution, or manufacturing of illegal drugs or unlicensed pharmaceuticals.
- Terrorism financing, cybercrime (hacking/phishing), or extortion.
- Any activity that violates the Laws of the Federal Republic of Nigeria or international law.
payments 4. The "Stamp Duty" & Fees
Administrative Fee: Every agreement initiated on UPFRONT requires a non-refundable administrative/stamp fee of ₦1,500.
Payment Processor: Payments are securely handled via Paystack. UPFRONT does not intercept or store your credit card details.
Legal Standing: This fee covers the digital authentication, cryptographic security, and immutable archival of the agreement within the UPFRONT registry.
5. User Obligations & Accuracy
Users must provide accurate, current, and complete information during registration and agreement creation. You are solely responsible for maintaining the confidentiality of your Case IDs and Reference Codes. Any misrepresentation of identity, qualifications, or intent constitutes a material breach of these terms.
6. Identity Verification & Biometrics
To ensure the integrity of the UPFRONT ecosystem and the enforceability of contracts, Contractors are required to provide a live facial biometric capture before an agreement is legally bound.
"You agree that the biometric photo captured is a live, true representation of yourself at the time of signing. The use of static photos, masks, or AI-generated deepfakes is strictly prohibited and constitutes criminal fraud."

Public Registry (Blacklist) Listing
In the event of a breach, the aggrieved party may report the case. Our legal team, led by Barr. Raymond Arinze Ruach, will initiate mediation. Failure to resolve the breach will result in the defaulting party being permanently listed on the UPFRONT Public Registry (Blacklist), affecting their future credibility and employment prospects.
8. Intellectual Property
All content, branding, algorithms, and registry architectures associated with UPFRONT are the exclusive intellectual property of Ruach and Zoe LTD. You may not copy, reverse-engineer, or distribute any part of the platform without express written consent.
9. Limitation of Liability
UPFRONT acts solely as an independent digital registry and mediator. We are not a direct party to the underlying contracts between Employers and Contractors. We shall not be held liable for the quality of work provided by a Contractor, financial losses beyond our recovery scope, direct or indirect damages, or third-party technical interruptions.
10. Privacy & Data Protection
We take your privacy seriously. Your data, including highly sensitive biometric captures and contract particulars, is encrypted at rest and in transit. All data handling strictly complies with the Nigeria Data Protection Act (NDPA). We do not sell your personal data to third parties.
11. Termination & Suspension
We reserve the right to suspend or permanently terminate your access to UPFRONT if you violate these terms, engage in fraudulent behavior, or attempt to manipulate the registry. Upon termination for breach of terms, you will forfeit any pending agreements and fees.
12. Governing Law & Jurisdiction
These terms are governed by the Laws of the Federal Republic of Nigeria, including the Law of Contract and the Evidence Act regarding the validity of electronic and biometric signatures. Any legal proceedings not resolved via our internal mediation shall fall under the exclusive jurisdiction of the Nigerian Courts.
13. Modifications to Terms
UPFRONT reserves the right to update or modify these Terms of Service at any time. We will notify users of significant changes via email or dashboard announcements. Your continued use of the platform after changes are published constitutes your binding acceptance of the new terms.
